1Acceptance of Terms & Business Capacity
By accessing our website, purchasing a dataset, or downloading any content from UK Restaurant Data ("we", "us", "our"), you ("the Buyer", "you") agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not purchase or use our products.
Our services are strictly business-to-business (B2B). By placing an order, you explicitly warrant and represent that you are purchasing our datasets on behalf of a legitimate business entity, sole trader, or for professional market research purposes, and that you have the authority to bind that entity to these terms.
2Digital Delivery & Refund Waiver
Important Consumer Notice Regarding Digital Goods
Our products consist of instantly delivered, downloadable digital CSV/Excel datasets. By completing your purchase and initiating the download sequence, you explicitly consent to the immediate performance of this contract.
Consequently, you acknowledge and agree that you waive your right to cancel the order or demand a refund under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 once execution has commenced. All sales are final.
3License and Usage Restrictions
Upon confirmed payment, we grant your organization a non-exclusive, non-transferable, non-sublicensable, revocable license to utilize the dataset solely for internal B2B lead generation, sales, marketing, and analytical research.
You are strictly prohibited from:
- Reselling, sublicensing, sharing, renting, or redistributing the dataset in whole or in part to third parties.
- Publishing the data on public-facing websites, shared network directories, or open-source platforms.
- Using the data, or any derivative of it, to compile or build a competing data-provision, directory, or marketing service.
4Fees, Billing, and Taxes
All transactional processing is handled securely via our third-party merchant processor, Stripe. We do not store or capture your raw credit card information on our servers.
Prices for regional data chunks or full bundles are clearly stated on our website and are subject to change without notice. Where applicable, statutory value-added tax (VAT) will be automatically calculated and displayed at checkout based on your tax jurisdiction.
5Data Accuracy "As-Is" Disclaimer
The hospitality and food service industry experiences high rates of volatility; corporate structures, locations, and operational personnel change continuously. While we perform systemic quarterly scrubbing and validation routines to keep indices accurate, all datasets are provided on an "as-is" and "as-available" basis.
We make no representations, warranties, or guarantees that our datasets will be 100% complete, error-free, or current. You acknowledge that a baseline percentage of data degradation (including email bounces, out-of-service telephone lines, and altered web addresses) is normal for marketing lists and does not warrant a breach of contract.
6GDPR, PECR, and Compliance Obligations
We collect and store corporate data under the lawful framework of Legitimate Interest. However, once a dataset is downloaded, the Buyer assumes sole and absolute regulatory responsibility for all direct or indirect outbound communications initiated using that data.
You strictly warrant that your outreach strategies comply with the UK General Data Protection Regulation (UK GDPR), the Privacy and Electronic Communications Regulations (PECR), and any matching local laws. This includes cross-referencing telephone numbers against the Corporate Telephone Preference Service (CTPS) registry where necessary, proving a valid basis of contact, and embedding transparent, functioning opt-out mechanisms in every single interaction.
7Indemnification
You agree to fully defend, indemnify, and hold harmless UK Restaurant Data, its officers, directors, employees, and affiliates against any and all claims, damages, liabilities, losses, regulatory actions, or legal expenses (including reasonable court costs and legal fees) arising out of or related to your misuse of the purchased datasets, unauthorized disclosure of the records, or your breach of any applicable data compliance framework (such as UK GDPR or PECR).
8Breach and Termination
Any unauthorized reproduction, digital leakage, or resale of our data will result in the immediate, automated revocation of your usage license without notice or financial compensation. Upon termination of this license for breach, you must immediately halt all business use of the dataset and purge all files, partial back-ups, and server-side clones from your systems. We reserve the full right to seek equitable injunctive relief and standard damages for intellectual property theft.
9Limitation of Liability
To the absolute maximum extent permitted under the laws of England and Wales, our total aggregated liability for any claims, losses, or actions arising out of or in connection with these Terms or the utility of our datasets—whether grounded in contract, tort, negligence, or statutory duty—shall be strictly capped at the total financial amount paid by you for the specific dataset that caused the disputed claim.
10Severability & Entire Agreement
These Terms and Conditions constitute the entire legal agreement between you and us concerning your purchase and utility of our datasets. If any specific clause or provision within these terms is discovered by an administrative court of law to be invalid, illegal, or unenforceable, that portion shall be severed, and the remaining provisions shall continue in uncompromised full force and effect.
11Governing Law and Jurisdiction
These Terms and Conditions shall be governed by, interpreted, and construed exclusively in accordance with the laws of England and Wales. Any operational dispute, legal claim, or litigation arising directly under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
